Metaplanet has approved a wholly owned subsidiary in Hong Kong with planned initial capital of $1 million, creating an Asian base for Bitcoin-related investment activity and market monitoring.
Metaplanet Asset Management Asia Limited is expected to be incorporated during September 2026. Simon Gerovich, Darren Winia and Kelvin Lee will initially serve as its directors.
The company said the unit would execute investment strategies and monitor positions during Asian trading hours, when US markets are closed. It will be able to invest client funds and Metaplanet’s own capital in Bitcoin, listed equities, preferred securities, credit products and other liquid instruments.
The subsidiary forms part of Project Nova, Metaplanet’s plan to develop financial services linked to Bitcoin. Its responsibilities are expected to include trading, market monitoring, position management and risk controls.
Metaplanet said the Hong Kong operation would complement Metaplanet Asset Management, its Miami-based business established in March 2026. Miami will remain the group’s central institutional investment hub, while Hong Kong will provide execution and operational support across Asian market hours.
The structure is intended to give Metaplanet investment coverage across Asia, the United States and Europe. The company said the new subsidiary was infrastructure for its planned financial-services platform rather than a separate change in corporate strategy.
An English version of the filing said Metaplanet would provide $1 million in initial capital and retain 100% ownership. The announcement did not give a date for the start of client services, identify assets under management or announce outside investors. It also did not say that the Hong Kong company had begun managing customer funds.
Project Nova expansion
Project Nova includes Metaplanet’s plans to build securities, asset-management and capital-markets businesses around its Bitcoin treasury. Possible activities include credit products, preferred securities and structures connected to Bitcoin-focused companies.
In June, Metaplanet agreed to acquire Japanese brokerage Siiibo Securities for 2.1 billion yen. The transaction was completed in July, after which the business was renamed Metaplanet Securities. The brokerage has a Type I Financial Instruments Business registration in Japan.
Metaplanet, JPYC and tokenization company Progmat have also studied Bitcoin-backed digital credit products. No launch or commercial terms have been agreed. Potential structures include digital corporate bonds, security tokens and Bitcoin-collateralised credit instruments, subject to technical reviews, internal approvals and discussions with authorities.
The Hong Kong unit’s possible investments include Bitcoin-related perpetual preferred securities, derivatives, structured-product income strategies, and equity or credit investments involving companies holding Bitcoin. No specific fund or product has been announced.
Separately, an August transaction would transfer 2,100 BTC and $2.5 million to Nasdaq-listed Super League Enterprise. Metaplanet expects to secure a 95.7% stake, subject to certain existing warrants. The company would be renamed Superplanet, with the proposed ticker SUPA, and Metaplanet would appoint five of nine directors.
Metaplanet reported 43,000 BTC in its treasury after buying 2,823 BTC in the second quarter. Gerovich said the balance remained unchanged after transfers between company-controlled custodial addresses: “No bitcoin was sold, and our holdings remain 43,000 BTC.”
The filing said the Hong Kong subsidiary should have “a minimal impact” on consolidated results for the year ending 31 December 2026. No Hong Kong Securities and Futures Commission licence was identified, and the company did not specify whether the planned activities would rely on a licence, an exemption or another regulated group entity.
