MoonPay has agreed to acquire North Capital Investment Technology, bringing regulated brokerage, investment advisory, clearing and alternative trading system capabilities into the digital asset company’s global infrastructure.
The financial terms have not been disclosed, although reports suggest the all-stock transaction is valued at more than $60m.
North Capital provides technology and regulated brokerage services for private markets. Once the deal is completed, it will operate as a wholly owned subsidiary of MoonPay.
The transaction will give MoonPay greater access to traditional and tokenised private securities, as financial technology companies increasingly seek regulated infrastructure to support the tokenisation of real-world assets.
North Capital operates several entities registered with the U.S. Securities and Exchange Commission, including broker-dealers, an alternative trading system known as PPEX ATS, a transfer agent and an investment adviser.
“All financial markets are becoming more technology-driven, but the infrastructure supporting them is still fragmented across different tech stacks, providers, and workflows,” said Ivan Soto-Wright, founder and chief executive of MoonPay.
“At MoonPay, we’re building the regulatory foundation to support mass adoption of tokenized real-world assets.”
North Capital offers technology, custody, escrow and secondary trading services to private securities issuers, fund managers and institutional investors.
Its platform has facilitated more than $8.7bn in primary and secondary transaction volume. PPEX, its alternative trading system, supports more than 1,250 approved assets for secondary trading.
James P. Dowd, North Capital’s founder and chief executive, said the agreement could widen access to private markets while improving liquidity.
“MoonPay has built a global financial technology platform with significant reach,” Dowd said.
“We see a compelling opportunity to combine our teams and capabilities while continuing to support the clients and partners who have helped build North Capital.”
The boards of directors at both companies have unanimously approved the transaction. Completion remains subject to customary closing conditions and regulatory approvals.
The agreement comes only weeks after MoonPay worked with PayPal and M0 to launch a platform that allows companies to develop their own stablecoin-based products.
The acquisition is part of a broader move by digital asset firms towards established market infrastructure as mainstream finance explores new ways to issue and trade tokenised real-world assets.
